1. Acceptance of Terms
By downloading, installing, or using the ProbForge software ("Software") or accessing the ProbForge website ("Website") at probforge.com, you agree to be bound by these Terms of Use. If you do not agree, do not use the Software or Website.
2. Software License
ProbForge CPK Capability Analyzer (Free Edition) is provided under the following license terms:
- You are granted a non-exclusive, non-transferable, revocable license to use the Software free of charge for personal and commercial purposes.
- You may install the Software on an unlimited number of computers within your organization.
- You may not reverse engineer, decompile, disassemble, or modify the Software.
- You may not redistribute, resell, sublicense, or make the Software available for download from any location other than the official ProbForge website.
- You may not remove or alter any copyright notices, branding, or proprietary labels in the Software.
3. Intellectual Property
The Software, Website, and all associated content — including but not limited to source code, object code, user interface design, logos, graphics, documentation, and the "ProbForge" name and brand — are the exclusive intellectual property of Paride Romano and are protected by Italian and international copyright, trademark, and intellectual property laws.
ProbForge® is an independent product. References to automotive OEM names (Volkswagen, BMW, Stellantis, Toyota, Bosch, Ford, GM) are used solely for compatibility purposes and do not imply endorsement, affiliation, or sponsorship by any OEM.
4. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
While the Software has been developed following AIAG standards and validated against established statistical methods, it is the user's sole responsibility to:
- Verify that results are appropriate for their specific application
- Validate outputs against their own quality standards and procedures
- Ensure compliance with any applicable industry standards, customer requirements, or regulatory obligations
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARIDE ROMANO SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO THE USE OR INABILITY TO USE THE SOFTWARE, INCLUDING BUT NOT LIMITED TO:
- Loss of data, profits, or business opportunities
- Production decisions based on Software outputs
- Quality defects, customer claims, or regulatory non-compliance
- Damage to equipment, products, or reputation
This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise), even if the author has been advised of the possibility of such damages.
6. Data and Privacy
The ProbForge desktop application operates entirely offline. No measurement data, analysis results, or user information is transmitted to any external server. All data is stored locally on your computer.
The ProbForge website collects limited personal data as described in our Privacy Policy.
7. Third-Party Content
The Software may include or reference third-party libraries, standards, and methodologies. Such content remains the property of their respective owners. Use of the Software does not grant you any rights to third-party intellectual property.
8. Updates and Modifications
We reserve the right to modify, update, or discontinue the Software or any features at any time without prior notice. We are under no obligation to provide updates, patches, or support.
9. Termination
This license is effective until terminated. We may terminate your license at any time if you fail to comply with these Terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.
10. Paid Products (AMS Suite)
Future paid products within the ProbForge AMS Suite (Quality Professional, Enterprise) will be subject to separate license agreements and terms of service, which will be provided at the time of purchase.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Italian Republic, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lecco, Italy.
12. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Software after any changes constitutes acceptance of the updated Terms.
